The Role
Our client is seeking a junior- to mid-level Associate to join its Commercial Lending practice within the Banking and Financial Services Department. The team advises lenders and borrowers on a wide range of commercial finance transactions, including leveraged finance and sponsor-backed acquisition financings across the core and upper middle market.
The successful candidate will gain exposure to sophisticated lending matters and work with banks, direct lenders, and corporate borrowers on bilateral, club, and broadly syndicated transactions.
The role will include
- Providing commercial finance support on leveraged finance and sponsor finance acquisition deals
- Assisting with the drafting and negotiation of credit agreements, subordination and intercreditor agreements, agreements among lenders, mezzanine and second-lien loan agreements, amendments, and forbearance agreements
- Reviewing acquisition documentation and advising on implications for credit agreements
- Managing elements of bilateral, club, and syndicated transactions
- Maintaining strong client communication and supporting relationship development
Required
- Experience in commercial lending, leveraged finance, or sponsor finance
- Strong drafting, analytical, and communication skills
- Ability to manage multiple matters and work collaboratively within a team
- Admission in good standing, or eligibility to waive into the relevant state bar
